Redfinger Member Distribution Service Agreement

Dear Redfinger User Members,

Welcome to the Redfinger Member Distribution Service. Before using the service, you should carefully read the entire content of the Redfinger Member Distribution Service Agreement (hereinafter referred to as "this Agreement"), especially the bolded text that involves your significant rights and interests. If you have any objections to the content of this Agreement or disagree with any of its terms, please do not agree to this Agreement or use the services under this Agreement. Otherwise, it will be deemed that you agree to and accept the full content of this Agreement. This Agreement will take effect legally between you and Redfinger, and will become a legally binding document for both parties. The explanations of relevant terms in this Agreement are as follows:

The "Redfinger Member Distribution Service" (hereinafter referred to as "Distribution Service") refers to the promotion and settlement services related to the Redfinger member services provided by Redfinger to users. Invited users can purchase Redfinger memberships through your exclusive promotion link/poster, and you will receive corresponding commissions.

"You" as mentioned in this Agreement refers to the user who registers or uses the Redfinger Member Distribution Service, or is called a Redfinger Member Distribution Service member. This Agreement only constitutes a cooperative relationship where Redfinger entrusts you with selling Redfinger membership cards, and under no circumstances does it imply any endorsement, holding, partnership, investment, or any other relationship between you and Redfinger or Redfinger membership cards.

The "Redfinger Member Distribution Service" in this Agreement refers to the promotion organization initiated by Redfinger Member Distribution Service members through Redfinger Member Distribution Service approval, which is generated within the service. The initiator is limited to individual users (any changes will be based on the updated service content).

The "promotion code" in this Agreement refers to the unique code assigned by the Redfinger Member Distribution Service to each Redfinger Member Distribution Service member to identify their promotion identity.

The "promotion object" in this Agreement refers to Redfinger VIP/KVIP/SVIP/XVIP membership cards, i.e., Redfinger membership services.

This Agreement is jointly signed by you and Redfinger. Both you and Redfinger have carefully read this Agreement, the Redfinger Member Distribution Service Agreement, the Redfinger Distribution Promotion Rules, the Redfinger Cloud Phone Platform User Agreement, the Privacy Policy, and other related terms of service, rules, and regulations. Both parties have acknowledged, understood, and accepted this Agreement, as well as the related terms of service, rules, and regulations, and agree to use them as the basis for determining the rights and obligations of both sides. If you have any questions about the terms of this Agreement, you can inquire through Redfinger's customer service channels, either online or by calling the customer service hotline.

Redfinger has the right to update the content of this Service Agreement from time to time based on its business needs. If this Agreement is changed, Redfinger will announce the changes in advance on the related page of Distribution Service or notify you via messages, SMS, etc. If you continue to use the services provided by Distribution Service after this Agreement takes effect, it indicates that you accept the changed agreement and will use the services provided by Distribution Service according to the updated terms. If you refuse to accept the changed agreement, you must suspend using the corresponding part of the services provided by Distribution Service.

If you are a person with no civil capacity or with restricted civil capacity, please inform your guardian, and read this Agreement and use this Service under your guardian's guidance. If you are not a natural person, you confirm that you have the right to conclude and perform this Agreement without being restricted by the laws and regulations of the country or region where you belong, reside, or conduct business or other activities.

The main body of this Agreement is as follows:

Article 1: Purpose of this Agreement and About Redfinger Membership Card

1.1 To provide better services to Distribution Service members, and to standardize the behavior of Distribution Service members, as well as to clarify the rights and obligations of both parties, this Agreement is specially formulated.

1.2 Redfinger is committed to continuously improving its services, striving to provide users with higher-quality and more cost-effective products and services. The Redfinger membership card is a membership service for the products/services provided by Redfinger to its member users. The levels, pricing, and specific benefits that users can enjoy after purchasing a Redfinger membership are detailed on the Redfinger membership official website. If users have any doubts or questions about the benefits of Redfinger membership, they can inquire through Redfinger's customer service channels, either online or by calling the customer service hotline. For details of other service rights and benefits of users, please refer to the Redfinger Cloud Phone Platform User Agreement on the membership purchase page or other rules and instructions displayed on the Redfinger platform.

Article 2: Conclusion, Effectiveness, and Applicable Scope of Agreement

2.1 By registering as a member of Distribution Service through the network page of Distribution Service, clicking Agree to Register, and confirming this Agreement, or by using the services under this Agreement without confirming it, the member agrees that they have reached an agreement with Redfinger and accept all the terms and conditions of this Agreement.

2.2 This Agreement shall take effect immediately when the member confirms this Agreement. If the member does not confirm this Agreement but actually uses the services under this Agreement or performs any obligations under this Agreement, this Agreement shall take effect from the date the member actually uses or performs the services.

2.3 This Agreement includes the main body of this Agreement as well as all rules, regulations, notices, etc., that have been or may be issued by Redfinger or Distribution Service. These rules, regulations, and notices are considered part of this Agreement and have the same legal effect as this Agreement itself.

Article 3: Member Qualifications and Service Activation

3.1 Distribution Service members must meet the following conditions:

(1) Having a Redfinger account;

(2) Completing the user information on the Distribution Service platform and passing the verification process. The user's ID card information is only used for financial tax deduction purposes;

(3) Other qualification conditions as specified by Redfinger.

3.2 Users who meet the above conditions and are approved by Redfinger will have the corresponding Distribution Service account permissions activated according to their application. If the Redfinger account with activated Distribution Service permissions is suspended or terminated due to violations, failure to meet qualification conditions, or other reasons, the corresponding distribution service will also be suspended or terminated. The ownership of the Distribution Service account belongs to Redfinger, and the member only has limited usage rights, which are for personal use only and cannot be transferred, lent, or rented. Members must properly keep their accounts and passwords.

3.3 There is no charge for joining Distribution Service. Redfinger will not charge you any fees, and you are not allowed to charge franchise fees or any other fees for any reason, in any form, from other Distribution Service members you recommend. You hereby confirm that any action of charging franchise fees or other fees is unrelated to Redfinger. If Redfinger members or Distribution Service members suffer any financial losses as a result, neither Redfinger nor Distribution Service shall bear any liability, and you must resolve the issue with the fee charger or their agent.

3.4 If Redfinger finds that you are charging a franchise fee or other fees using Distribution Service, Redfinger has the right to immediately cancel your membership, suspend your account, deduct all your commissions, and require you to refund any fees already collected. If Redfinger or other users incur losses as a result, you shall be liable for full compensation. If a criminal offense is suspected, Redfinger has the right to refer the case to judicial authorities for handling.

3.5 Without official authorization from Redfinger, it is prohibited for signatories to sell on any e-commerce platform. Violators will be held legally accountable.

Article 4: Content of Distribution Service

4.1 The activation of any of the following services can be described as the use of Distribution Service. However, the specific service content is subject to the content supported by the activated service:

(1) Generating promotional QR codes/links related to the promotion account;

(2) Commission, promotional effect statistics, related report queries, etc.;

(3) Operational functions of relevant settlement accounts.

4.2 Members understand and agree that the specific content of Distribution Service is subject to the system's actual functions. Redfinger may, at any time, add or modify service content based on business development or system function adjustments, and will notify you of such changes through system announcements, system update reminders, or other reasonable methods. If you have objections to the updated content, you may choose to discontinue using the distribution service, and both parties may terminate the cooperation. If you continue to use the updated service content, it will be deemed that you agree to and accept the updated content.

Article 5: Commission and Settlement

5.1 Members who use Distribution Service and do not violate this Agreement are entitled to receive corresponding commissions.

5.2 Valid purchases guided by the promotional QR code/link from members will be recorded by Distribution Service system as the basis for a settlement between Distribution Service and the members. Members acknowledge and agree that all settlement records are based on the judgment and results issued by Distribution Service system.

5.3 After settlement is completed, members can initiate a commission settlement. You need to submit an application through Distribution Service, and after Redfinger's approval, the commission will be issued to the member's bank account.

5.4 Once the Redfinger membership card is sold, it is non-returnable or exchangeable. If there are cases of membership card refunds due to special reasons among the membership cards you sell and/or the membership cards you sell through the Distribution Service members, and the number of refunded cards exceeds 1% of your total sales performance, Redfinger will directly determine that the member is engaged in fraudulent activities, and Redfinger will not settle the commission for that month. Redfinger also reserves the right to suspend the Distribution Service accounts of you and your service members. If Redfinger has already settled commissions with you before the refund, you must fully return the settled amount.

5.5 You agree and confirm that the commissions you withdraw have already had the relevant taxes and fees paid on your behalf by Redfinger.

5.6 During the use of Distribution Service, all hardware, software, service, and other related costs shall be borne by the member.

Article 6: Member Behavior Restrictions

6.1 When registering and submitting information, members shall ensure the authenticity, accuracy, and legality of the identity/unit-related information and the related information they provide. Additionally, if any relevant information changes during the use of Distribution Service, members shall update it promptly. If any loss occurs due to the provision of false or inaccurate information by the member or failure to update information promptly, the member shall bear the liability. Additionally, Distribution Service has the right to suspend its service account and unilaterally terminate the cooperation.

6.2 Members shall properly keep their Redfinger account and password for accessing Distribution Service. When not using the service, members should log out. Members are also prohibited from renting, transferring, or granting their accounts to others for use. Any actions carried out through the Distribution Service account are regarded as the actions of the members themselves.

6.3 Members shall comply with all rules published by Distribution Service. If a member disagrees with any rule, they shall immediately stop using the service. If the member continues to use the service after new rules are published by Distribution Service, it will be considered that the member agrees to the rule and accepts the constraints imposed by it.

6.4 Members shall use the distribution service in accordance with laws, regulations, and the relevant requirements of Distribution Service. If a member engages in illegal or non-compliant behavior during the use of the service, is deemed to be violating laws or infringing by administrative or judicial authorities, or if Redfinger determines, based on its own judgment, that the member's behavior is illegal, non-compliant, or infringing, Redfinger has the right to suspend the account according to this Agreement and unilaterally terminate the cooperation. Moreover, if any loss is caused to Redfinger by the member's behavior, or if Redfinger faces claims from third parties, user complaints, or administrative penalties, the member shall compensate Redfinger for all resulting losses and expenses, including but not limited to economic losses, compensation, fines, reasonable attorney fees, compensation to third parties, and other reasonable expenses, and shall bear the liability for eliminating any negative impact on Redfinger.

6.5 When using Distribution Service for promotion, members shall comply with the following provisions:

(1) Do not violate the relevant laws and regulations of the country, and do not breach the obligations and agreements with third parties, or the relevant requirements of Distribution Service. Members should act with honesty and integrity, comply with social public order and morals, and not harm the legitimate rights and interests of others. If a member violates the above provisions and causes any damages, the member shall bear full legal liability independently, including compensating any loss caused to third parties or Redfinger.

(2) Do not modify their promotion code without authorization, or use technical means to implant the promotion code into the promoted client, website, or other software or websites related to the promoted object, or use software, or products with embedded malicious or bundled SP services. ("Malicious SP services" refer to any codes, plugins, links, backends, or client software that deducts, consumes, or extracts fees from the user without explicit user consent, causing financial loss to the user.)

(3) Promote according to the requirements of Distribution Service and do not use any deceptive or false methods to promote in order to obtain unreal promotional effect data.

(4) Do not use deception, inducement, misleading, coercion, or other actions that harm the reputation of the promoted object, or promote content unrelated to the promoted object to target users, including but not limited to forced consumption, violent sending of SMS and promotional messages, use of malicious software to bundle installations, forced installation and consumption, promoting with infringement or pornography/violence-related content, or inducing users to consume through cashback or other financial incentives that violate the user's right to freely choose.

(5) Do not use improper means to harm other promoters' normal promotional activities, nor disrupt the promotional market order established by Distribution Service.

(6) Do not use technical means or other hacking methods to attack or alter the server and data of Distribution Service, or take other actions that interfere with the normal operation of Distribution Service's server.

(7) Do not rewrite, implant code, introduce viruses, or alter the functional structure of the promoted code in any form. Members shall strictly follow the original code features of the promoted object for promotion and shall not alter or insert codes or identifiers that are not the inherent features of the promoted object itself.

(8) Do not engage in fraudulent fake transaction behavior. Redfinger has the right to interpret fraudulent fake transactions within the scope permitted by laws and regulations. (Fake transactions include but not limited to Distribution Service members maliciously inducing others to repeatedly purchase Redfinger memberships through their QR codes and then request refunds.)

(9) Do not promote by using the name of Redfinger or Distribution Service and any related names without Redfinger's written permission.

(10) Members shall maintain and enhance the image of Redfinger and Redfinger products, and shall not make or spread any defamatory or factually incorrect statements or actions about Redfinger or Redfinger products.

(11) Do not engage in any other actions that damage the interests of Redfinger or the legal rights and interests of third parties.

6.6 Without Redfinger's consent, members shall not use Redfinger's related logos or trademarks, and shall not claim to be an agent of Distribution Service or its related services, or have any controlling relationship, nor shall they take actions that would make users believe they are staff of Distribution Service or have some relationship with Distribution Service (such as holding, partnership, investment, service, and agency). If the member violates the above provisions and causes damage to Redfinger or third-party interests, Distribution Service has the right to terminate the member's qualification and to seek compensation for the losses caused by such actions, including but not limited to economic losses, compensation, fines, reasonable attorney fees, third-party compensation, and other reasonable expenses, and the member shall bear the liability for eliminating the negative impact on Redfinger.

6.7 Members shall keep all information and materials of Redfinger (including but not limited to prices, pricing systems, marketing plans, membership numbers, discount policies, etc.), obtained under this Agreement, strictly confidential. Members shall not use or authorize any third party to use or disseminate such information without Redfinger's authorization.

Article 7: Handling of Violations

7.1 If a member violates the relevant provisions of this Agreement or any rules issued by Distribution Service, the member agrees that Distribution Service has the right to take one or more of the following actions, based on the nature, seriousness, and degree of fault of the violation, as well as the data (if any) provided by the distribution service system for independent judgment:

(1) Issuing a warning;

(2) Setting a deadline for corrective action;

(3) Suspending the use of certain distribution service functions;

(4) Refusing to settle any commission related to the alleged violation;

(5) Refusing to settle or directly deducting part or all of the commissions already generated and expected to be generated in the current month from the account of Distribution Service;

(6) Closing the member's Distribution Service account, ceasing to provide services, and deducting all unsettled fees from the service account;

(7) Closing the member's Redfinger account, prohibiting the user from using any services that require an account login on the Redfinger platform, and deducting all unsettled fees from the Redfinger account;

(8) Restricting the member from becoming a Distribution Service user again;

(9) Requiring the member to compensate for the losses caused.

If the damages caused by the member's violation to Redfinger and third parties cannot be compensated by the above measures, Redfinger reserves the right to recover the damages from the member. The member's compensation scope includes but is not limited to all fees and expenses incurred by Redfinger as a result.

7.2 If the member disagrees with the measures taken by Redfinger, the member may, within 5 working days of receiving the measures from Distribution Service, file an appeal by submitting opposing evidence through the appeal channels provided by Redfinger. The appeal will not affect the enforcement of the measures already taken. If no appeal is submitted within the time limit, it will be regarded as the member's acceptance of the relevant handling results.

Article 8: Scope and Limitation of Liability

8.1 The distribution service will be provided on an "as is" and "as available" basis. Redfinger hereby expressly states that no warranties, either express or implied, are made regarding the services of Distribution Service, including but not limited to its applicability, absence of errors or omissions, continuity, accuracy, reliability, or suitability for any particular purpose.

8.2 To the extent permitted by applicable law, Distribution Service makes no express or implied statements, warranties, or conditions, including but not limited to:

(1) Any warranties or conditions regarding merchantability, suitability for a particular purpose, accuracy, and non-infringement;

(2) Any warranties or conditions arising in the course of trade or industry practices;

(3) Any warranties or conditions that Distribution Service will be uninterrupted or error-free during use.

8.3 Distribution Service shall not be liable for any data loss and/or any damages arising from or based on this Agreement or the use of Distribution Service, including but not limited to direct, indirect, special, incidental, or punitive damages or any other form of compensation, even if Distribution Service has been informed of the possibility of such damages.

8.4 Any notification to the member by Distribution Service, whether oral or written, shall not imply that Distribution Service assumes any warranty liability other than those stated in this Agreement.

8.5 Redfinger and the provided Distribution Service shall not be liable for the following situations:

(1) Service changes, interruptions, or inability to use that are not caused by the intentional or negligent acts of Distribution Service, including but not limited to:

1) Due to the nature of network services, the member agrees that Distribution Service may change or interrupt part or all of the network services, and delete (no longer save) any data submitted by the member during the use of Distribution Service, without notifying the member or assuming liability to the member or any third party.

2) The member understands that Distribution Service may periodically or irregularly conduct inspections or maintenance on the platform or related equipment providing the distribution service, and if such circumstances cause an interruption of the service within a reasonable time, Distribution Service will not bear any liability for it.

(2) Unauthorized third-party use of the member's account or alteration of the member's data.

(3) Losses caused by the member's misunderstanding of Distribution Service.

(4) Inability to service or delay in service caused by reasons beyond the reasonable control of Distribution Service, including but not limited to issues such as normal equipment maintenance of the information network, network connection failures, computer, communication, or other system failures, power outages, strikes, labor disputes, riots, uprisings, unrest, insufficient productivity or production materials, fires, floods, storms, explosions, wars, government actions, judicial or administrative orders, or the inaction of third parties.

(5) Any damage or dispute caused by the member's violation of laws and regulations, infringement of third-party legitimate rights, or violation of agreements with third parties while performing this Agreement. Such issues shall be resolved and borne by the member, and they shall not involve Redfinger or Distribution Service, and Redfinger and Distribution Service shall be exempted from liability.

Article 9: Termination of the Distribution Service

9.1 Distribution Service has the right to suspend or terminate the provision of all or part of the distribution service to the member at any time, including temporarily or permanently closing the member's service account, without assuming any liability to the member or any third party. The service will be terminated from the date Distribution Service issues the notification to the member.

9.2 Distribution Service has the right to terminate providing services to the member, thereby terminating this Agreement, and permanently closing the member's service account of Distribution Service under the following circumstances:

(1) If the member violates the relevant provisions of this Agreement, Distribution Service has the right to terminate the service to the member;

(2) If Distribution Service discovers that the member's behavior, data, or information contains false content;

(3) If the member explicitly refuses to accept the new service agreement during the termination or revision of this Agreement;

(4) Other situations where Distribution Service deems it necessary to terminate the service.

9.3 After the termination of the service, Distribution Service has no obligation to retain any information related to the member's account or to forward any unread or unsent information to third parties or the member. After the termination of the service, the data left in Distribution Service system by the member may be retained or not retained according to the relevant national regulations, and Distribution Service has no obligation to the member in this regard.

9.4 Regardless of the reason for the termination of this Agreement, any compensation or liability arising from actions prior to the termination of this Agreement must be fully and independently borne by the member.

Article 10: Intellectual Property

10.1 All content on the Redfinger platform, the Distribution Service website, and other platforms, clients, and applications providing the distribution services, including but not limited to works, images, logos, trademarks, text, files, information, materials, website structure, layout of the interface, and web design, are legally owned by Redfinger or other rights holders with intellectual property rights, including but not limited to trademark rights, patent rights, copyrights, trade secrets, etc. Without the permission of Redfinger or other rights holders, no one may use, modify, copy, publicly disseminate, alter, distribute, issue, or publicly publish the aforementioned intellectual property-related programs or content.

10.2 The names or logos of Distribution Service, Redfinger, and others are protected under the Trademark Law and other relevant laws and regulations. No one may use, copy, or employ them for other purposes without authorization. If the member needs to use these trademarks or logos during promotion, they shall obtain consent from the rights holders; otherwise, it will constitute infringement, and the member shall bear the liability for such infringement.

Article 11: Modification of this Agreement

11.1 Distribution Service has the right to modify the content of this Agreement and its related rules at any time, and only needs to publish the changes on the website of Distribution Service and/or other platforms providing the distribution service, or notify the members, without requiring prior consent from the members.

11.2 The modified terms will take effect immediately upon publication, notification, or at the time specified in the publication or notification.

11.3 After Distribution Service modifies this Agreement and the related rules, if the member disagrees with the changes, they should stop using Distribution Service. Otherwise, if the member continues to use Distribution Service, it will be deemed that the member has accepted the modified terms.

Article 12: Notices and Delivery

12.1 All notices sent by Distribution Service to the member will be delivered through page announcements, emails, in-site messages, or SMS. Modifications to the terms of this Agreement, service changes, or other important event notices will be communicated in this manner.

12.2 The member agrees to receive emails or messages from Distribution Service or its affiliates or partners.

Article 13: Miscellaneous

13.1 This Agreement supersedes any prior oral or written understandings reached by the parties regarding matters contained in this Agreement.

13.2 Distribution Service has the right to transfer its rights and obligations under this Agreement to a third-party company without notice. Distribution Service promises that such a transfer will not affect the member's rights and obligations under this Agreement. Otherwise, Distribution Service will still bear the relevant liabilities under this Agreement towards the member.

13.3 The formation, execution, and interpretation of this Agreement, as well as the resolution of disputes, shall be governed by the laws of the People's Republic of China (mainland).

13.4 If any term of this Agreement conflicts with the above-mentioned laws, such terms will be reinterpreted in accordance with legal provisions, while other lawful terms will remain in full force and effect.

13.5 The provisions of this Agreement are severable. If any provision of this Agreement is deemed invalid or unenforceable, that provision may be removed, and the remaining provisions shall still be enforced.

13.6 If any dispute arises between the parties regarding the content or execution of this Agreement, the parties shall attempt to resolve it through friendly negotiation. If negotiations fail, either party may file a lawsuit at the location where Redfinger operates.

13.7 If the member has any questions or suggestions regarding this Agreement, they may contact customer service through the online support channel. Redfinger will handle the feedback promptly upon receipt.
