RedCloud User Service Agreement
Welcome to RedCloud (hereinafter referred to as the "Service").
This "RedCloud User Service Agreement" (hereinafter referred to as "this Agreement") is a legally binding agreement between you (also referred to as the "User") and the service provider of RedCloud (hereinafter referred to as "we" or "RedCloud") regarding the use of the RedCloud cloud phone and related services.
Before you begin using the Service, you must carefully and thoroughly read and fully understand all contents of this Agreement, particularly the clauses highlighted in bold, underlined, or otherwise emphasized, concerning exemption or limitation of liability, dispute resolution, and governing law.
If you are a minor, a person without capacity for civil conduct, or a person with limited capacity for civil conduct, please read this Agreement under the guidance of your legal guardian and decide whether to accept it.
Once you complete registration, begin using, or continue to use the RedCloud service, it shall be deemed that you have fully read, understood, and voluntarily accepted all contents of this Agreement and agree to be bound by it. If you do not agree to any term of this Agreement, you shall immediately cease registration or use of the Service.
1. Service Introduction and Description
1.1 RedCloud: Refers to the provider of this Agreement, operating and providing cloud phone and related technical services under the RedCloud brand.
1.2 Service under this Agreement: Refers to the mobile device emulation service implemented through cloud virtualization technology provided by RedCloud to you, along with matching network connectivity services. Specific services are subject to what is actually provided within the product. Related services within product features may be provided by third-party suppliers.
1.3 The Service aims to provide users with convenient and efficient cloud-based mobile device management tools. You understand and acknowledge that all operations you perform through the Service represent your own actions or actions you are legally authorized to take. You shall independently bear all responsibilities arising from your use of the Service and ensure strict compliance with all applicable laws, regulations, and third-party platform rules.
1.4 User: Refers to an individual authorized through legal means to install and use the RedCloud product and service. Also referred to as "you" in this Agreement.
1.5 Scope of Service: We may provide the Service to you via web pages, mobile clients, PC clients, mini-programs, browser extensions, and innovative forms that may emerge with technological development, specifics of which are subject to our official releases.
1.6 Service Rules: Refer to the service terms, rules, descriptions, and standards concerning the Service's content, service levels, technical specifications, operational documentation, billing standards, etc. Service rules are based on the content displayed on relevant pages of the Service. Please understand the Service Rules in advance and operate accordingly to ensure smooth use of the Service.
1.7 Function Updates: To improve user experience and enhance service content, we may update the Service or adjust some functions (e.g., software upgrades, disabling of certain functions, development of new services). We will notify you through appropriate means (e.g., system prompts, announcements, in-app messages). You may choose to use the updated version; if you choose not to update, some functions of the Service may be restricted or may not function properly.
1.8 The Service requires you to have a compatible device terminal and operating system. The device terminal must also be able to connect to the network stably. Otherwise, we may not be able to provide the Service to you. You are responsible for preparing the necessary equipment at your own expense. The content and functions of the Service may vary or change depending on your device model, operating system, etc.
2. Account Registration and Use
2.1 If you meet the age requirements, you may create a RedCloud account to use RedCloud services. You need a RedCloud account to use certain services.
You represent and warrant that the registration information you provide is true, accurate, and complete, and you will update it promptly upon any changes. During the account registration process, you shall carefully read and agree to the terms of this Agreement and the Privacy Policy, and complete all registration steps as prompted on the pages.
2.2 Based on relevant legal and regulatory requirements, your account is for your personal use only and is non-transferable, non-giftable, non-inheritable, and may not be authorized for use by any third party. If we reasonably determine that the use of your account may violate laws and regulations, or endanger your account security and/or RedCloud's information security, we may refuse to provide corresponding services or terminate this Agreement, and have the right to suspend, deactivate, or reclaim the account as the situation warrants. Any losses arising therefrom, including but not limited to the clearing of content, virtual property, etc., shall be borne solely by you and the user of said account.
2.3 We have the right to review whether the identity information you provided during registration is true and valid, and shall actively take reasonable technical and managerial measures to ensure the security and effectiveness of user accounts. You are obligated to properly safeguard your user account, password, and verification codes, and to use them correctly and securely. You are solely responsible for all activities that occur under your account.
2.4 Once you discover that your user account, password, or verification code is being used illegally by others or there is any abnormal use, you shall promptly handle it according to the processing methods published by the account service provider, and have the right to promptly notify us to take measures to suspend the login and use of that user account.
2.5 You shall properly back up the data within the devices under your account. Relevant usage data and rights are limited to the corresponding device. Situations such as changing devices, uninstalling/reinstalling, or device damage causing the software to fail to start normally may result in the inability to recover related data (including paid data, etc.). Any losses caused thereby shall be borne solely by you.
3. Your Rights and Obligations
3.1 You have the right to use the Service in accordance with the terms of this Agreement.
3.2 The license RedCloud grants to you based on this Agreement is a license for personal use. If you need to use the Service beyond the scope of personal use or for any commercial purposes, you shall contact RedCloud and obtain separate authorization from RedCloud. Any installation, use, access, display, or operation of the Service without RedCloud's permission shall be deemed a breach of this Agreement.
3.3 You shall use the Service in accordance with the law and shall not use the Service to engage in any illegal or non-compliant activities that endanger national security and social public interests, disrupt economic and social order, or infringe upon the legitimate rights and interests of others, such as:
(1) Opposing the basic principles established by the Constitution;
(2) Endangering national security, divulging state secrets, subverting state power, or undermining national unity;
(3) Damaging national honor and interests;
(4) Distorting, vilifying, desecrating, or denying the deeds and spirit of heroes and martyrs, or infringing upon their names, portraits, reputations, or honors by means of insult, defamation, or otherwise;
(5) Promoting terrorism, extremism, or inciting the implementation of terrorist or extremist activities;
(6) Inciting ethnic hatred, ethnic discrimination, or undermining ethnic unity;
(7) Undermining national religious policies, promoting cults and feudal superstitions;
(8) Spreading rumors or false information, disturbing social order, or destabilizing society;
(9) Disseminating obscenity, pornography, gambling, violence, murder, terror, or abetting crime; or trading in or manufacturing contraband or controlled items;
(10) Insulting or defaming others, infringing upon others' rights to reputation, portrait, privacy, intellectual property, and other legitimate rights and interests; or impersonating or falsely using the name of state organs, social organizations, or other legal persons;
(11) Other activities prohibited by laws and regulations.
3.4 To prevent the spread of undesirable information, you shall not use or attempt to use the Service to generate content involving the following circumstances:
(1) Using exaggerated titles where the content severely deviates from the title;
(2) Speculating on scandals, controversies, or misconduct;
(3) Inappropriately commenting on disasters such as natural disasters or major accidents;
(4) Containing sexual innuendo, titillation, or other content easily associated with sexuality;
(5) Displaying bloody, horrifying, cruel, or other content causing physical or mental discomfort;
(6) Inciting discrimination against groups or regions;
(7) Promoting vulgar, kitsch, or philistine content;
(8) Content that may induce minors to imitate unsafe behaviors or acts violating social morality, induce unhealthy habits in minors, or may infringe upon minors' lawful rights and interests or harm their physical and mental health;
(9) Inciting illegal assemblies, associations, processions, demonstrations, or gatherings that disrupt social order;
(10) Acting in the name of illegal non-governmental organizations;
(11) Other content that adversely affects the online ecosystem.
3.5 To protect our legitimate interests and those of other users, you shall refrain from using or attempting to use technical measures or other means to engage in the following acts:
(1) Creating mirrors of the Service's web pages, or using technical means to reproduce or replicate the Service;
(2) Reverse assembling, reverse compiling, translating, or otherwise attempting to discover the source code or underlying components of the Service's models, algorithms, and systems, or the programs, software, information, data, algorithms, and models it relies upon;
(3) Using automated or programmatic methods to extract data from the Service, for example, independently or assisting third parties in using "spider" programs, malicious programs, viruses, or other forms, measures, procedures, or tools designed to intrude into networks or interfere with normal network functions and protective measures, to crawl, steal, collect, or extract data from the Service; or cracking the Service's technical protection measures, or employing improper means that may affect the normal operation of the Service to crawl, steal, collect, or extract data;
(4) Deleting, modifying, obscuring, or otherwise replacing the trade names, trademarks, service marks, domain names, or other distinctive marks of us and our partners that may be included in the provision of the Service, or deleting copyright notices, trademark notices, or other proprietary notices contained in the Service;
(5) Other acts detrimental to RedCloud or other users.
3.6 For content you upload to the Service platform, you shall ensure that:
(1) The uploaded content does not violate the terms of this Agreement;
(2) You own the uploaded content or have obtained full, necessary, and valid legal licenses and authorizations from all relevant right holders involved in the uploaded content, and that it does not infringe upon the legitimate rights and interests of any third party (e.g., intellectual property, portrait rights, reputation rights, privacy rights, trade secrets, etc.); you shall not cause the Service to generate content that infringes upon third-party rights and interests through prompts or other means;
(3) If your uploaded content involves personal information, you shall ensure that you have obtained the informed consent of the relevant personal information subjects (separate consent shall be obtained for sensitive personal information).
3.7 You shall not obtain or use the Service at a frequency beyond the normal range, or attempt to use the Service improperly by fabricating clicks, creating false requests, or other technical means, or use the Service by registering a large number of accounts or registering accounts using false identity documents.
3.8 Please understand and use the Service scientifically, rationally, and in accordance with the law. If you are a minor, please use the Service with the consent of your guardian. Do not become overly reliant on or addicted to using the Service.
3.9 When you use the Service to access or operate any third-party application or platform (hereinafter referred to as a "Third-party Platform"), you must strictly comply with all publicly available rules, policies, and terms of service of that Third-party Platform (collectively, "Platform Rules"). This specifically means you undertake not to use the Service to engage in, including but not limited to, the following acts:
(1) Any automated, non-human activities (unless explicitly permitted by the platform) for fake interactions such as inflating follower counts, likes, traffic, rankings, manipulating search rankings, or fabricating engagement data;
(2) Publishing or disseminating content containing abuse, defamation, discrimination, harassment, violence, pornography, gambling, infringement (e.g., pirated software, content infringing intellectual property), fraudulent information, or other content prohibited by law;
(3) Sending any unsolicited advertising, promotions, or "spam";
(4) Circumventing normal technical or commercial restrictions imposed by Third-party Platforms on account registration numbers, login regions, operation frequency, feature access, or content distribution;
(5) Engaging in any activity that may lead to the restriction, suspension, or permanent banning of a Third-party Platform account.
3.10 When using the network proxy service that RedCloud may provide, you are strictly prohibited from engaging in the following activities:
(1) Attacking, intruding into, interfering with, or destroying any network, server, computer system, or attempting unauthorized access to any data;
(2) Crawling, scraping, or collecting data without explicit authorization, or conducting denial-of-service attacks against any website or service;
(3) Accessing, disseminating, or obtaining any information or content illegal under the laws of your jurisdiction;
(4) Engaging in online fraud, phishing, or spreading viruses or malware;
(5) Concealing your true identity to engage in any illegal activity or activity violating Third-party Platform rules.
4. Our Rights and Obligations
4.1 We shall, with existing technology, maintain the normal operation of the Service and strive to improve and advance the technology to ensure the smooth progress of your use activities. We shall provide safe, stable, and continuous service to users in accordance with the principle of good faith, guaranteeing normal use by users.
4.2 We have the right to take action against your behavior that violates laws, regulations, or this Agreement, such as issuing warnings, suspending services, restricting use, blocking accounts, terminating services, deleting illegal/non-compliant content, and cooperating with relevant authorities in accordance with the law.
4.3 We have the right to review the account information you submit. If we find that your account may involve abnormal situations or risks such as fraud, we have the right to re-verify your account and may, depending on the risk level, take measures including ordering rectification within a time limit, restricting functions, suspending use, closing the account, prohibiting re-registration, and other measures stipulated in this Agreement. If clues or risk information related to fraud or other illegal crimes are discovered, we have the right, in accordance with relevant national regulations, to transfer such information to public security, financial, telecommunications, cyberspace administration, and other departments based on the type and severity of the fraud risk.
4.4 We shall actively take effective measures to fulfill all obligations stipulated by applicable laws and regulations.
4.5 We shall implement strict protective measures for your data to maximize its security and integrity, preventing your data from being accessed illegally or used for other purposes.
4.6 During your use of the Service, to facilitate your timely understanding of activity information, service information, and other transaction-related information, and to enhance your service experience, you understand that, subject to respecting your privacy protection terms, RedCloud may provide you with commercial information about services, functions, or activities that may interest you. Please rest assured that if you do not wish to receive such information, you may unsubscribe via the opt-out methods we provide.
4.7 We shall accept supervision from users and the public, comply with inspections and opinions from national competent authorities. If any operation of the Service violates laws, regulations, or this Agreement, we shall promptly take reasonable measures such as stopping generation, stopping transmission, removing non-compliant content, and correcting algorithmic models.
4.8 We have the right to determine different charging methods and fee standards for this product and its services across different product types and stages, and have the right to adjust the fee policy as needed at any time. You are obligated to carefully read and understand such charging methods and fee standards before payment. Once you choose to purchase related paid services, it indicates that you have fully understood and accepted the corresponding charging methods and fee standards. Specific charging methods and fee standards (including but not limited to the specific fees for this product's membership services and value-added services) are explained by us in a general form on this product's website, within the product/purchase interface, and other pages.
4.9 In cases where user acceptance of product services or other value-added services constitutes a chargeable item, if the service's validity period is exceeded (regardless of whether the user has actually used the service), the Company shall have the right to terminate the provision of the corresponding service.
4.10 You shall complete payment via the payment channels on the recharge page to activate paid membership services. Membership services and other value-added services you purchase are virtual goods and non-refundable once payment is completed. You shall carefully verify your account name, service type and service duration before activating paid services. RedCloud will not accept applications for refund due to wrong account recharge, incorrect selection of service type or duration, and no fees will be returned in such circumstances.
5. Intellectual Property and Other Rights
5.1 RedCloud is the developer and operator of the Service and enjoys all rights within the scope permitted by law to all data, information, output, etc., generated during the development and operation of the Service, except where otherwise stipulated by law for relevant right holders.
5.2 The intellectual property rights (including but not limited to copyright, trademark rights, patent rights, and other intellectual property rights) in the content provided by RedCloud within the Service (including but not limited to software, technology, programs, code, user interfaces, web pages, text, pictures, images, audio, video, charts, layout design, trademarks, electronic documents, etc.) belong to RedCloud, except where otherwise stipulated by law for relevant right holders.
5.3 You understand and undertake that your use of the Service shall not infringe upon any person's legitimate rights and interests, including intellectual property rights, portrait rights, reputation rights, rights of honor, name rights, privacy rights, personal information rights, etc., and shall not involve any state secrets, trade secrets, important data, or other data that may adversely affect national security or public interests. Otherwise, you shall bear all infringement risks and liabilities arising therefrom. All direct and indirect losses suffered by RedCloud as a result (including but not limited to economic, reputational losses,维权expenses, attorney fees, etc.) shall also be borne by you.
5.4 You acknowledge, understand, and agree that if you enjoy rights (including but not limited to intellectual property, portrait rights, etc.) in your Input (including all content you upload or publish during your use of the Service) and/or Output as stipulated by law, your use of the Service will not cause the transfer or diminution of the aforementioned legal rights, unless otherwise agreed between us and you. At the same time, you understand and agree that, to the extent permitted by law, RedCloud will store and use (including but not limited to copying, distributing, transmitting, publicly displaying, editing, etc.) the content you upload or publish for the purpose of providing the Service.
5.5 Regarding the content you upload or generate through the Service, the relevant intellectual property rights remain with you or the original right holder. However, for the purpose of providing, optimizing, and promoting the Service, you grant RedCloud a worldwide, royalty-free, sublicensable, perpetual license to use, copy, store, display, and modify such content.
6. User Personal Information
6.1 Protecting user personal information is a fundamental principle of RedCloud. We shall take measures to protect users' personal information. Except as required by law, we will not disclose user personal information to third parties without user permission. We store and transmit user personal information in encrypted form to ensure its security.
6.2 We will collect and store your personal information in accordance with legal and regulatory requirements. Unless we obtain your separate consent, it is necessary to perform a contract concluded with you, or it is necessary to comply with legal obligations, we will not provide your personal information to any third party.

7. Liability for Breach and Limitation of Liability
7.1 You fully understand and agree that you are responsible for your actions in using the Service and the consequences thereof. Particularly when making significant decisions involving credit, investment, financing, wealth management, insurance, legal, medical, educational, and other major matters, you shall independently judge the content encountered while using the Service, including the risks arising from reliance on the correctness, completeness, or practicality of the content.
7.2 You shall bear independent liability for any claims, demands, or losses raised by third parties arising from or resulting from your breach of this Agreement; if RedCloud suffers losses as a result, you shall also compensate RedCloud accordingly. If a user violates this Agreement, RedCloud's rules, or national laws and regulations, RedCloud has the right to make an independent judgment, immediately revoke the relevant license, terminate the provision of services to the user, and pursue the user's legal liability through various legal channels.
7.3 If your conduct in violation of laws, regulations, or the terms of this Agreement causes us losses, or you interfere with the operation of the Service, or interfere with other users' use of the Service, we have the right to claim compensation from you.
7.4 The Service fulfills its basic security obligations in accordance with the law. To the extent permitted by law, RedCloud shall not be liable for service interruption or impact caused by the following circumstances:
(1) Force majeure factors such as natural disasters, strikes, riots, wars, government actions, and judicial/administrative orders;
(2) Maintenance of or malfunctions in the hardware and software involved in the Service due to various factors;
(3) Public service factors or third-party factors such as power supply failures or communication network failures.
7.5 When using RedCloud, you shall also comply with the user agreements and rules of the corresponding Third-party Platforms. If you violate Third-party Platform rules (including but not limited to performing high-frequency or batch operations not permitted by the Third-party Platform), or if automated operations are detected and disallowed by the Third-party Platform based on its rules, the Third-party Platform may impose restrictions, blocks, or penalties on the automated operations, including but not limited to account suspension/deactivation, function restriction, content deletion, etc. RedCloud assumes no responsibility for the above consequences. The user understands and accepts that RedCloud assumes no responsibility for liabilities and risks arising between the user and third parties.
7.6 Unless otherwise stated on the relevant interface of the Service, or otherwise agreed between you and us, or expressly stipulated by law, we shall not be liable for any damages caused to you by the use of the Service.
7.7 You shall not bypass the app store review mechanism through sideloading, cracking, or any other means to download and install any third-party applications from channels other than the official app store. You shall bear any legal consequences arising from the breach of the above undertaking and shall compensate/indemnify RedCloud for any adverse legal consequences and losses caused by the above acts. If your rights and interests are damaged due to downloading and installing any third-party applications from channels other than the official app store, RedCloud also assumes no legal liability.
7.8 The user understands and agrees that data backup and preservation are the user's obligations and responsibilities. RedCloud assumes no responsibility for the user's data backup and preservation work or results.
7.9 You explicitly acknowledge and agree that using the network proxy service involves the following inherent risks, and RedCloud assumes no liability for consequences arising from such risks:
(1) Stability and Availability Risks: The connection speed, success rate, and stability of the IP proxy service are affected by numerous complex factors such as international network links, node load, target website blocking policies, and may experience fluctuations, delays, or temporary unavailability.
(2) Legal and Compliance Risks: You are obligated to ensure that all your activities using the IP proxy service comply with all relevant laws and regulations of your location, the service provision location, and the data reception location. Use for illegal purposes is strictly prohibited.
8. Governing Law and Dispute Resolution
8.1 The formation, performance, interpretation and dispute resolution of this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region, excluding its conflict of laws rules.
8.2 If you have any opinions or suggestions regarding the Service or any part of this Agreement, you may contact RedCloud through its customer service department (email: [email protected]).
8.3 Any dispute arising out of or in connection with this Agreement or the Service shall first be resolved through negotiation via the above contact method. If negotiation fails, either party may submit the dispute to the Hong Kong International Arbitration Centre (HKIAC) for final arbitration in accordance with the HKIAC Administered Arbitration Rules applicable to international cases then in force. The seat of arbitration shall be Hong Kong, and the arbitration language shall be Chinese.
9. Changes and Termination of the Service and Agreement
9.1 To ensure business development, RedCloud has the right to change the Service (including but not limited to upgrades, updates, additions, reductions, derivations, etc.) and the contents of this Agreement, and also has the right to terminate the Service/this Agreement. For changes that significantly affect your rights and interests, RedCloud will announce them on the product website and/or important pages within the client via announcements, etc. RedCloud advises users to regularly check for information regarding such changes or termination.
9.2 You have the autonomous right to unilaterally decide to stop using the Service at any time. If RedCloud makes any changes to the Service or the contents of this Agreement, and you do not agree to the content of the changes, you have the right to unilaterally and immediately stop using the Service or uninstall RedCloud. If you continue to use the Service after such changes, it shall be deemed that you have accepted the changed content.
9.3 When this User Service Agreement terminates for any reason, all rights and licenses you have obtained under this User Service Agreement shall terminate simultaneously. At that time, you will no longer be able to use any part of the product service, including but not limited to your user account and user content.
9.4 After the termination of this User Service Agreement, RedCloud may still hold you liable for conduct that violates laws, regulations, or this User Service Agreement in accordance with relevant laws and regulations and this User Service Agreement. The clauses in this User Service Agreement concerning personal information protection, intellectual property, warranties and guarantees, liability, disclaimer and limitation of liability, governing law, and dispute resolution shall remain in full force and effect.
10. Miscellaneous
10.1 This Agreement constitutes the entire agreement between the parties regarding the matters agreed herein and other related matters. Except as provided herein, this Agreement does not grant any other rights to the parties.
10.2 If any term of this Agreement is held to be wholly or partially invalid or unenforceable for any reason, such invalid or unenforceable term shall be replaced by a valid and enforceable term that most closely approximates the intent of the original term, and the remaining terms of this Agreement shall remain in full force and effect.
10.3 RedCloud's failure to exercise, delay in exercising, or incomplete exercise of any right under this Agreement or in accordance with legal provisions shall not be deemed a waiver of that right, nor shall it affect RedCloud's future exercise of that right.
